1. Who we are
Edubaze is operated by EDUBAZE DIGITAL SYSTEMS LTD (RC 9617722), House 30 Janet Fajemigbesin Street, Diamond Estate, Amuwo Odofin, Lagos, Nigeria. “We”/“Edubaze” means that company; “you” means the school, school owner, staff member, student/parent or partner using the service.
2. Accounts and eligibility
- You must give accurate information and keep your login details secure. You are responsible for activity under your account.
- School owners and admins create logins for their staff and students; they are responsible for those users’ access.
- You must be legally able to enter this agreement on behalf of your school or yourself.
3. The service and plans
Edubaze provides results & report cards, attendance, fees with proof-of-payment, announcements and related tools. Plans (for example Free, Pro and Max) differ by school size and features; current prices and limits are shown in the app and may change with notice. The Free plan has a student limit and a reduced feature set.
4. Payments, subscriptions and refunds
- No payment gateway. Paid subscriptions are paid by bank transfer into the account shown on your invoice; you upload proof and we confirm it. Edubaze does not take card payments or hold your money.
- Subscriptions are billed per academic term. Your plan unlocks once we confirm payment.
- Fees that parents pay a school are paid into the school’s own bank account — Edubaze is not a party to those payments and never holds them.
- Except where required by Nigerian law, subscription payments are non-refundable.
5. Schools’ responsibilities (data protection)
When you use Edubaze for your school, you are the data controller of the personal data you enter and Edubaze is your processor. You confirm that you have the right to enter that data and have obtained any necessary consents — including parental/guardian consent for students’ (children’s) data as required by the Nigeria Data Protection Act. 6. Acceptable use
- Do not break the law, infringe others’ rights, or upload harmful or unlawful content.
- Do not attempt to access another school’s data, probe, or disrupt the service.
- Do not misuse other people’s personal data or share login credentials improperly.
7. Partner Program
- Partners introduce schools to Edubaze and, once approved, earn a commission on the subscriptions those schools pay — typically a higher rate in a school’s first term and a renewal rate thereafter. Current rates are shown in the partner portal.
- Commission becomes claimable once Edubaze confirms a school’s payment. Payouts are made by bank transfer to the verified account on your partner profile, after you request them.
- Partners are independent — they are not employees or agents of Edubaze, must represent Edubaze honestly, and must never collect school fees or passwords on Edubaze’s behalf.
- We may decline, suspend or end a partner account for misrepresentation, fraud or abuse.
8. Intellectual property
Edubaze and its software, design and brand are owned by us. Your school’s own data and content remain yours. You grant us only the permission needed to host and process that data to provide the service.
9. Availability and warranties
We work to keep Edubaze available and reliable, but the service is provided “as is” without warranties of uninterrupted or error-free operation. We may carry out maintenance and update features.
10. Limitation of liability
To the maximum extent permitted by Nigerian law, Edubaze is not liable for indirect, incidental, special or consequential losses, or for loss of data, revenue, profit or goodwill, arising from your use of the service.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited — including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence.
Subject to the above, Edubaze’s total aggregate liability arising out of or in connection with these terms or the service — whether in contract, tort (including negligence) or otherwise — is limited to the total subscription fees you paid to Edubaze in the twelve (12) months immediately before the event giving rise to the claim. Where you are on a free plan and have paid no such fees, our total aggregate liability to you is limited to ₦50,000.
11. Suspension and termination
You may stop using Edubaze at any time. We may suspend or end access for breach of these terms or non-payment. On termination, you may request return or deletion of your data as described in the Privacy Policy.
12. Changes to these terms
We may update these terms as the service or the law changes. We will update the date above and, for material changes, give notice in the app. Continued use after changes means you accept them.
13. Governing law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. Disputes are subject to the courts of Lagos State. We encourage you to contact us first so we can try to resolve any issue.
